These Terms of Service govern your use of amilisltd.com and the Amilis clinical-data platform (together, the "Service") operated by Amilis Ltd ("the Company," "we," "us," or "our"). By accessing or using the Service you confirm that you have read, understood, and agreed to these Terms.
The Service is a patient data organisation tool for fertility clinics and gynecology practices. It structures cycle, laboratory, and imaging data into a clinician-readable timeline. It is not a medical device, does not provide diagnostic output, and does not constitute medical advice. All clinical decisions remain the responsibility of the treating clinician.
1. Agreement
These Terms govern your use of the Service operated by Amilis Ltd (35 Luke Street, Shoreditch, London EC2A 4NE). By using the Service you accept these Terms.
Nothing in these Terms limits your statutory rights as a consumer under the Consumer Rights Act 2015 or other applicable UK consumer-protection law. Where you are using the Service on behalf of a clinic or other organisation, you confirm that you have the authority to bind that organisation to these Terms.
2. Use of the Service
Access to the Amilis platform during the current early-access period is granted on an invitation basis. The following conditions apply to all users:
- You must be at least 18 years old or have parental consent to use the Service.
- You agree not to use the Service unlawfully, to interfere with its operation, or to attempt unauthorised access to any part of the system or to patient records you are not authorised to view.
- You may not copy, scrape, or reverse-engineer the Service except as permitted by applicable law, including the Copyright, Designs and Patents Act 1988.
- You agree to use the Service only for the internal clinical data organisation purposes for which it is provided, and not to process patient records outside of a lawful clinical context.
- You acknowledge that the Service is in active development. Features may change. We will give reasonable notice of material changes that affect how you use the platform.
3. Intellectual Property
The Service, including all software, design, text, and the timeline data-organisation methodology, is owned by the Company or its licensors and is protected by UK and international intellectual-property law. You receive a limited, non-exclusive, non-transferable licence to use the Service for its intended clinical data organisation purpose during the term of your early-access agreement. Nothing in these Terms transfers ownership of any intellectual property to you.
4. User Content and Clinical Data
You are responsible for any content you submit to the Service, including patient records imported through CSV or HL7 FHIR. You confirm that you are lawfully entitled to process that data and that doing so complies with UK GDPR, the Data Protection Act 2018, and any sector-specific obligations applicable to your clinic.
You grant the Company a limited licence to use, store, and process submitted data solely to provide the timeline organisation service described in the applicable Data Processing Agreement. The Company will not use patient record data for any purpose beyond providing that service, including model training, marketing, or sharing with third parties outside the scope of the DPA.
5. Right to Cancel (Consumer Contracts Regulations 2013)
Where you enter into a paid distance contract with the Company as a consumer, you have a 14-day right to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. To exercise this right, email [email protected] with a clear statement that you wish to cancel. We will process any refund due within 14 days of receiving your cancellation notice.
6. Disclaimers and Statutory Rights
The Service is provided "as is." The Company makes no warranty, express or implied, that the Service will meet your specific clinical workflow requirements or that it will be uninterrupted or error-free. Nothing in these Terms excludes or limits liability for (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, or (c) any other liability that cannot be excluded or limited under the laws of England and Wales. Consumer statutory rights under the Consumer Rights Act 2015, including the right to services provided with reasonable care and skill, are not affected by these Terms.
The Service is a data organisation tool. It does not provide diagnostic interpretations, clinical recommendations, or medical device functionality. The Company expressly disclaims any responsibility for clinical decisions made on the basis of data displayed through the platform.
7. Limitation of Liability
To the extent permitted by the laws of England and Wales, the Company's total liability for any claim arising from or related to the Service will not exceed the greater of GBP 100 or the total fees paid by you to the Company in the three months preceding the event giving rise to the claim, except for liability that cannot be limited under mandatory law.
8. Termination
We may suspend or terminate your access to the Service for material breach of these Terms, including any misuse of patient data. We will give reasonable notice where practicable. Upon termination, you remain responsible for any obligations incurred before termination. Sections 3, 4, 6, 7, 9, and 10 of these Terms survive termination.
9. Governing Law and Jurisdiction
These Terms are governed by the laws of England and Wales.
The courts of London, United Kingdom have exclusive jurisdiction to resolve any dispute arising from these Terms or your use of the Service, subject to your right as a consumer to bring proceedings before the courts of your place of residence in the United Kingdom.
10. Changes
We may update these Terms to reflect changes in law, the Service, or our practices. Material changes will be communicated by posting an updated version with a new "Last updated" date. Continued use of the Service after a material change constitutes your acceptance of the revised Terms.
